Terms of Service

Last updated: July 26, 2026. Written in plain English so a program team can read it without a lawyer. It is not legal advice.

1. Accepting these terms

These Terms of Service (the "Terms") are an agreement between Bakaro Art LLC ("Bakaro Art", "we", "us") and the organization or person using Kharazm ("you", "Customer"). By requesting a workspace, accepting an invitation, signing in, or otherwise using Kharazm, you agree to these Terms.

If you are accepting on behalf of an organization, you confirm that you have authority to bind that organization. If you do not have that authority, or you do not agree with these Terms, do not use the service.

These Terms are the standard terms for the hosted service. If your organization's procurement process requires different or additional terms — a data-processing agreement, an accessibility commitment, specific contract clauses — write to hello@bakaroart.com. A signed agreement between us takes precedence over this page to the extent it conflicts.

2. What the service is

Kharazm is a hosted, multi-tenant program-management platform. It provides workspaces containing programs and portfolios, tasks on a board or list, milestones, a due-date timeline, a workflow view, risks and issues, task comments, a team page, published update history, reports, activity history, search, and a per-organization audit log. An inbox surface exists, but fresh workspaces do not yet generate notifications automatically. Access is governed by four levels — admin, manager, member and viewer — enforced on the server.

We describe the current product on the features page, and how it is secured on the security page. Kharazm is an early product and may change as capabilities are added, refined or retired. When practical, we will notify workspace administrators before a material change that affects normal use.

3. Accounts, approval and access

There are two ways to get into Kharazm, and they behave differently:

• Initial registration by a signed-out person creates a pending workspace request. It is not an account yet. An operator at Bakaro Art reviews the request and approves or declines it. An already signed-in user can create an additional workspace without that review.
• Accepting an invitation from an existing workspace admits you immediately, at the access level the inviting administrator chose.

You are responsible for the accuracy of the information on your account, for keeping your password confidential, and for everything done through your account. Do not share credentials between people — invite a colleague instead, so the audit log stays meaningful. Tell us promptly at hello@bakaroart.com if you believe an account has been compromised.

Workspace administrators control membership and roles inside their organization. They can see the workspace's content and its audit log, and they can invite or remove people. If your account was created by your employer, your employer administers it.

Kharazm publishes Free, Standard and Premium planning rates on the pricing page. The application does not yet collect cards, issue automatic invoices, enforce seat limits or switch feature entitlements. A Standard or Premium arrangement begins only when Bakaro Art LLC and the customer agree in writing to the billable people, term, price, payment terms and any deployment scope. Requesting or using a Free workspace does not authorize a charge, and we will not start charging an existing workspace without a separate agreement.

4. Acceptable use

Use Kharazm for legitimate program work. You agree not to:

• Use the service for any unlawful purpose, or in violation of any law or regulation that applies to you or your organization.
• Upload, store or transmit content that is unlawful, infringing, defamatory, or that you do not have the right to place in the workspace.
• Attempt to access another organization's workspace, data or audit log, or to defeat, probe or circumvent the tenant isolation, authentication or authorization controls.
• Conduct security testing, scanning, load testing or vulnerability research against the service without our prior written permission. We welcome good-faith reports — email hello@bakaroart.com and ask first, and please do not open a public issue for a security finding.
• Interfere with the service's operation: denial-of-service attempts, automated traffic that degrades performance, scraping at volume, or bypassing rate limits.
• Reverse engineer, decompile or disassemble the software, or attempt to derive its source code, except to the extent that restriction is unenforceable under applicable law.
• Resell, sublicense, or provide the service to third parties as your own product.
• Upload malware, or use the service to phish, spam, or harass anyone.
• Store data your organization is not permitted to place in a third-party hosted system, or categories of sensitive personal data the product is not built for — see the privacy policy.

You are responsible for your users' compliance with this section.

5. Your data stays yours

As between you and us, you own your workspace content — the programs, portfolios, milestones, tasks, comments, risks and issues, stakeholder updates and everything else your people create in Kharazm ("Customer Data"). We claim no ownership of it.

You grant us only the narrow permission we need to run the service: to host, store, transmit, back up and display Customer Data so that your authorized users can use Kharazm, and so that we can support you when you ask. That permission ends when the data is deleted.

We do not sell Customer Data, use it for advertising, or use it to train machine-learning models. How we handle personal data, who our subprocessors are, and how to request an export or a deletion are set out in the privacy policy, which forms part of these Terms.

You are responsible for the accuracy and legality of Customer Data and for having whatever authority you need to put it in a hosted system.

6. Our software stays ours

Kharazm is proprietary software. Bakaro Art LLC and its licensors own the service and everything in it other than Customer Data: the source code, design, interface, brand, the eight-pointed star mark, the "kharazm" wordmark, documentation, and all associated intellectual property rights.

These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the hosted service during your access period, for your organization's internal purposes. No other license is granted. You may not copy, modify, translate, create derivative works from, distribute, host, or make the software available to anyone else, in whole or in part.

If you send us feedback, ideas or feature requests, we may use them to improve the product without obligation or compensation to you. You keep any rights you already had; you are simply not charging us for the suggestion.

7. Availability

What we do commit to in practice: we run the service on managed infrastructure, we monitor it, we fix problems as quickly as we reasonably can, and we try to schedule disruptive maintenance outside United States business hours. The service may be unavailable during maintenance, during a provider outage outside our control, or during an emergency security response.

Backups depend on the database plan in use, and there is currently no self-serve restore. If your organization has a specific continuity, retention or export requirement, tell us before you rely on Kharazm for critical records, and keep your own copies of anything you cannot afford to lose.

8. Suspension and termination

You may stop using Kharazm at any time. To close an account or a whole workspace, email hello@bakaroart.com — self-serve deletion is not yet available in the interface, and we say so plainly in the privacy policy.

We may suspend or terminate access, in whole or in part, if:

• you materially breach these Terms, particularly the acceptable-use section;
• your use poses a security, legal or operational risk to the service or to other organizations; or
• we are required to do so by law.

Where the circumstances allow it, we will contact workspace administrators first and give a reasonable chance to fix the problem. Where a threat is active, we may suspend immediately and explain afterwards.

We may also discontinue the service itself. If we do, we will give workspace administrators reasonable advance notice and a window to export Customer Data. On termination, your right to use the service ends; sections 5, 6, 9, 10, 12 and 13 survive.

9. Disclaimer of warranties

To the maximum extent permitted by law, Kharazm is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory. We specifically disclaim the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the service will be uninterrupted, timely, error-free or secure, that defects will be corrected, or that the service will meet your requirements. Kharazm helps you organize program work; it does not make decisions for you, and it is not a system of record for legal, financial, medical or personnel compliance purposes. You remain responsible for your own program outcomes and for meeting your organization's obligations.

Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost goodwill, or loss or corruption of data, arising out of or relating to these Terms or the service, even if advised that such damages were possible.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the service will not exceed the greater of (a) the total amounts you paid us for the service in the twelve months before the event giving rise to the claim, or (b) one hundred United States dollars (US$100).

These limits apply to all theories of liability — contract, tort, negligence, strict liability or otherwise — and are a fundamental basis of the bargain between us. They do not apply to liability that cannot be excluded or limited under applicable law, and some jurisdictions do not allow these limitations, in which case they apply to the fullest extent permitted.

11. Your indemnity

You will defend, indemnify and hold harmless Bakaro Art LLC from third-party claims, damages and reasonable costs (including legal fees) arising from Customer Data you place in the service, from your use of the service in breach of these Terms, or from your violation of law or of another person's rights. We will notify you of any such claim and let you control the defense, and you will not settle in a way that imposes an obligation on us without our consent.

12. Changes to these Terms

We may update these Terms as the product and the company evolve. When we do, we will change the "last updated" date at the top of this page. For a change that materially affects your rights or obligations, we will notify workspace administrators by email before it takes effect. Continuing to use Kharazm after a change takes effect means you accept the updated Terms; if you do not accept them, stop using the service and ask us to close the workspace.

13. General terms

Governing law

These Terms are governed by applicable United States law. This page does not designate a particular state or venue. Any more specific choice-of-law or venue term must be stated in a separate agreement signed by both parties.

Entire agreement and precedence

These Terms, together with the privacy policy, are the entire agreement between us regarding the service, and replace earlier understandings on the subject. A separate written agreement signed by both parties takes precedence where it conflicts.

Severability and waiver

If a provision is held unenforceable, it is limited or removed to the minimum extent necessary and the rest stays in force. Our failure to enforce a provision is not a waiver of it.

Assignment

You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, on notice to you.

Force majeure

Neither party is liable for a delay or failure caused by events beyond its reasonable control, including infrastructure-provider outages, network failures, natural events, or government action.

No agency

These Terms do not create a partnership, joint venture, employment or agency relationship between us.

When transactional email is configured, service notices may be sent to workspace administrators; do not rely on Kharazm as your only source of time-sensitive operational notices.
